Proud of our African roots, we have a global vision. LOSPay is built to support businesses in emerging markets while meeting international standards for security, speed and scalability.

These terms and conditions govern your access to, and use of, the services, websites, dashboards, software development kits (SDKs), APIs and mobile applications of LOSPay. By creating an account, accessing the LOSPay platform or using any LOSPay service, you accept these terms and conditions.

1. Definitions

LOSPay means LAND OF STUDIES PAYMENT and its subsidiaries, partners, service providers and subcontractors.
User means any person or entity that accesses or uses the LOSPay services.
A merchant means a user who accepts payments through LOSPay.
The Services mean the generation of payment links, transaction processing, the dashboard, the APIs, the SDKs, the marketplace tools and the related features that LOSPay makes available.
The term “website” means lospay.net and all web properties, mobile applications and subdomains carrying the LOSPay brand.

2. Account registration and eligibility

You must be at least 18 years old and have full legal capacity to enter into contracts in order to create an account.
You agree to provide accurate, current and complete information when creating your account and to keep that information up to date.
You are responsible for all activity that occurs on your account and for protecting your API keys, passwords and authentication credentials.
LOSPay may verify your identity, request business documents and carry out KYC and AML checks before or after your registration.

3. Services and use

LOSPay provides tools to create payment links, manage items to be paid, accept international payment methods, manage refunds and disputes, and integrate through APIs and SDKs.
LOSPay grants you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes, subject to these Terms and any applicable documentation.
You will use the Services in accordance with all applicable laws, regulations and LOSPay policies, including the lists of prohibited and restricted businesses.
LOSPay may modify, suspend or discontinue features of the Services at any time and will give notice where reasonably possible.

4. Fees, payments and settlements

You agree to pay all fees and charges relating to the Services, as set out in the pricing and merchant agreement applicable to your account.
Transaction fees, platform fees, currency conversion fees and payout fees may apply and are described in the pricing schedule and the merchant portal.
LOSPay will make payouts to your designated account in accordance with the payout schedule and subject to available funds, holds for risk review, chargeback reserves or regulatory requirements.
Fees are non-refundable, unless required by law or by the commercial agreement.

5. Restrictions and prohibited uses

You will not use the Services to facilitate illegal activity, infringe the rights of third parties, process payments for prohibited goods or services, or engage in deceptive, abusive or fraudulent conduct.
You agree not to attempt to circumvent LOSPay's controls, exploit vulnerabilities, reverse engineer the platform, or use automated tools to extract data without prior written authorization.
LOSPay reserves the right to restrict, suspend or terminate the Services for Users or transactions that present a risk to LOSPay, other Users or the payments ecosystem.

6. Security and privacy

LOSPay implements industry-standard security measures, including encryption, tokenization, access controls, logging and monitoring, in order to protect data.
You must implement appropriate security practices on your side, including secure storage of API keys, sending one-time passwords by email and SMS, two-factor authentication, use of the recommended SDKs and webhooks.
LOSPay's privacy practices are described in the Privacy, which forms an integral part of these Terms.

7. Intellectual property

LOSPay and its licensors retain all rights, title and interest in the Services, the website, the content, the software, the APIs and the documentation.
You retain ownership of the content and customer data that you submit to LOSPay. You grant LOSPay a limited license to use that data in order to provide and improve the Services and to comply with legal obligations.

8. Disputes, chargebacks and refunds

Merchants are primarily responsible for resolving disputes with customers and for issuing refunds in accordance with their public refund policy.
LOSPay provides tools and workflows to manage disputes and chargebacks and may, at its discretion, submit transaction evidence to card networks or payment processors.
LOSPay may hold funds, reserve amounts, or deduct refunds and chargeback losses from merchant balances, as required by risk management.

9. Warranties, limitation of liability and disclaimers

You warrant that you will use the Services lawfully and that you will provide accurate information to LOSPay.
LOSPay provides its Services “as is” and “as available”, without any express warranty of merchantability, fitness for a particular purpose or non-infringement.
To the fullest extent permitted by law, LOSPay and its affiliates, officers, employees and subcontractors will not be liable for indirect, incidental, special, punitive or consequential damages, or for loss of profits, revenue, data or business opportunities.
LOSPay's total liability for direct damages arising out of these terms will not exceed the total fees you paid to LOSPay during the six months immediately preceding the claim.

10. Indemnification

You will indemnify, defend and hold harmless LOSPay, its affiliates, officers, directors, employees and agents from and against any claim, demand, loss, liability or expense arising out of your use of the Services, your breach of these Terms, your violation of applicable law or your infringement of third-party rights.

11. Termination and suspension

LOSPay may suspend or terminate your access to the Services at any time in the event of a breach of these Terms, suspected fraudulent activity, regulatory requests or other legal reasons.
You may close your account by following the account closure procedure shown in the dashboard, subject to outstanding obligations, unresolved disputes or legal retention obligations.
Termination does not release you from payment obligations incurred before termination, nor from indemnification obligations.

12. Governing law and dispute resolution

These terms and conditions are governed by the laws of the jurisdiction specified in your merchant agreement or, failing that, by the laws of the country in which LOSPay is incorporated.
Any dispute arising out of or relating to these terms and conditions will be resolved in accordance with the provisions of the merchant agreement, which may provide for arbitration or designate a competent court.

13. Changes to the terms

LOSPay may amend these Terms and Conditions of Use. Material changes will be published on the website and, where appropriate, communicated by email or through an in-product notification. Continued use of the Services after changes are published constitutes acceptance of the updated Terms and Conditions of Use.

14. Miscellaneous

No waiver by LOSPay of any right or remedy under these terms and conditions will be valid unless made in writing and signed by an authorized representative of LOSPay.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
These terms and conditions, together with any merchant agreement, privacy policy and other incorporated documents, constitute the entire agreement between you and LOSPay regarding the Services.
