We’re proudly rooted in Africa, with a global vision. LOSPay is designed to support businesses in emerging markets while meeting international standards for security, speed, and scalability.
These Terms and Conditions govern your access to and use of LOSPay services, websites, dashboards, SDKs, APIs, and mobile applications. By creating an account, accessing the LOSPay platform, or using any LOSPay service you accept and agree to these Terms and Conditions.
Definitions
- LOSPay means LAND OF STUDIES PAYMENT and its affiliates, partners, service providers, and subcontractors.
- User means any person or entity that accesses or uses LOSPay services.
- Merchant means a User who accepts payments through LOSPay.
- Services means the payment-link generation, transaction processing, dashboard, APIs, SDKs, marketplace tools, and related features LOSPay makes available.
- Website means lospay.net and any LOSPay-branded web properties, Mobile Apps and subdomains.
Account Registration and Eligibility
- You must be at least 18 years old and fully able to enter into binding contracts to register for an account.
- You agree to provide accurate, current, and complete information when creating your account and to keep that information updated.
- You are responsible for all activity that occurs under your account and for safeguarding your API keys, passwords, and authentication credentials.
- LOSPay may verify your identity, request business documentation, and perform KYC and AML checks before or after onboarding.
Services and Use
- LOSPay provides tools to create payment links, manage articles for payment, accept global payment methods, handle refunds and disputes, and integrate via APIs and SDKs.
- LOSPay grants you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes, subject to these Terms and any applicable documentation.
- You will use the Services in compliance with all applicable laws, regulations, and LOSPay policies including prohibited and restricted business lists.
- LOSPay may modify, suspend, or discontinue features of the Services at any time and will provide notice where reasonably practicable.
Fees, Payments, and Settlements
- You agree to pay all fees and charges for Services as set out in the pricing and merchant agreement applicable to your account.
- Transaction fees, platform charges, currency conversion fees, and payout fees may apply and are described in the pricing and merchant portal.
- LOSPay will remit payouts to your nominated account according to the payout schedule and subject to available cleared funds, holds for risk review, chargeback reserves, or regulatory requirements.
- Fees are non-refundable except as required by law or the merchant agreement.
Restrictions and Prohibited Uses
- You will not use the Services to facilitate unlawful activity, infringe third-party rights, process payments for prohibited goods or services, or engage in deceptive, abusive, or fraudulent behavior.
- You will not attempt to circumvent LOSPay controls, exploit vulnerabilities, reverse-engineer the platform, or use automated tools to scrape or extract data without prior written consent.
- LOSPay reserves the right to restrict, suspend, or terminate Services for Users or transactions that pose a risk to LOSPay, other Users, or the payments ecosystem.
Security and Privacy
- LOSPay implements industry-standard security measures including encryption, tokenization, access controls, logging, and monitoring, to protect data.
- You must implement appropriate security practices on your side, including secure storage of API keys, OTP by Email and SMS, 2 Factor Authentication, use of recommended SDKs, and webhooks.
- LOSPay’s privacy practices are described in the Privacy Policy, which is incorporated into these Terms.
Intellectual Property
- LOSPay and its licensors retain all rights, title, and interest in the Services, Website, content, software, APIs, and documentation.
- You retain ownership of the content and customer data you submit to LOSPay. You grant LOSPay a limited license to use that data to provide and improve the Services and to comply with legal obligations.
Disputes, Chargebacks, and Refunds
- Merchants are primarily responsible for resolving customer disputes and issuing refunds in accordance with their public refund policy.
- LOSPay provides tools and workflows to manage disputes and chargebacks and may, in its discretion, represent transaction evidence to card networks or payment processors.
- LOSPay may place holds on funds, reserve amounts, or deduct refunds and chargeback losses from merchant balances as necessary to manage risk.
Warranties, Limitations of Liability, and Disclaimers
- You warrant that you will use the Services lawfully and provide accurate information to LOSPay.
- LOSPay provides Services on an “as is” and “as available” basis without express warranties of merchantability, fitness for a particular purpose, or non-infringement.
- To the maximum extent permitted by law, LOSPay and its affiliates, officers, employees, and contractors will not be liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, revenue, data, or business opportunity.
- LOSPay’s aggregate liability for direct damages arising from these Terms will not exceed the total fees paid by you to LOSPay in the six months immediately preceding the claim.
Indemnification
- You will indemnify, defend, and hold harmless LOSPay, its affiliates, officers, directors, employees, and agents from and against any claim, demand, loss, liability, or expense arising out of your use of the Services, breach of these Terms, violation of applicable law, or infringement of third-party rights.
Termination and Suspension
- LOSPay may suspend or terminate your access to the Services at any time for breach of these Terms, suspected fraudulent activity, regulatory requests, or other lawful reasons.
- You may close your account by following the account closure process in the dashboard, subject to outstanding obligations, unresolved disputes, or legal retention requirements.
- Termination does not relieve you of payment obligations incurred prior to termination or of indemnity obligations.
Governing Law and Dispute Resolution
- These Terms are governed by the laws of the jurisdiction specified in your merchant agreement or, if none is specified, the laws of the country where LOSPay is incorporated.
- Any dispute arising under or in connection with these Terms will be resolved as set out in the merchant agreement, which may require arbitration or specify a court of competent jurisdiction.
Changes to Terms
- LOSPay may update these Terms from time to time. Material changes will be posted to the Website and, where required, communicated via email or in-product notice. Continued use of the Services after posting constitutes acceptance of the updated Terms.
Miscellaneous
- No waiver by LOSPay of any right or remedy under these Terms will be effective unless in writing and signed by an authorized representative of LOSPay.
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- These Terms, together with any merchant agreement, privacy policy, and other incorporated documents, constitute the entire agreement between you and LOSPay relating to the Services.
